1. Definitions

In these General Terms and Conditions, the following definitions apply:

goWIDGETS: the provider of widgets, templates, integrations, automations, custom invoice flows and related digital services, operating through https://www.gowidgets.io.

Client: the person, company or organization that purchases or requests a product, service, subscription, integration or custom solution from goWIDGETS.

Service: any product, integration, widget, template, automation, custom invoice flow, implementation, support service or related digital service provided by goWIDGETS.

Integration Fee: the one-time setup fee charged for integration, implementation, configuration, onboarding or development work.

Subscription Fee: the recurring monthly or annual fee charged for continued use of a Service.

Agreement: any agreement between goWIDGETS and the Client, including online purchases, accepted offers, signed proposals, email confirmations and subscription orders.


2. Applicability

These General Terms and Conditions apply to all offers, proposals, orders, subscriptions, integrations, custom work and agreements between goWIDGETS and the Client.


By purchasing, requesting or using a Service from goWIDGETS, the Client agrees to these General Terms and Conditions. Any terms and conditions of the Client are excluded, unless goWIDGETS has accepted them in writing. If any provision of these General Terms and Conditions is invalid or unenforceable, the remaining provisions remain fully valid.


3. Offers and agreements

All offers and proposals from goWIDGETS are non-binding unless stated otherwise. An Agreement is created when the Client accepts an offer, completes an online order, signs a proposal, confirms a project by email or otherwise gives goWIDGETS permission to start the work. goWIDGETS may refuse an order or request if the requested Service is technically, legally or commercially unsuitable. Prices and descriptions on the website may be changed at any time. Existing Agreements are not affected, unless agreed otherwise.


4. Services

goWIDGETS provides digital products and services, including but not limited to:

  • Duda widgets
  • Duda templates
  • Native Store custom invoice solutions
  • Integrations and automations
  • Custom development
  • Setup and implementation
  • Technical support


The exact scope of the Service is described on the relevant product page, order confirmation, proposal or written agreement.

Unless explicitly agreed otherwise, goWIDGETS does not provide accounting, tax, legal or financial advice. The Client is responsible for verifying whether invoices, tax information and business documents comply with applicable laws and regulations.


5. Client responsibilities

The Client must provide all information, access, content, files, branding materials, technical details and approvals that goWIDGETS reasonably needs to deliver the Service.


For integrations and automations, including custom invoice flows, the Client must provide access to the relevant Duda account, store, website, systems or third-party tools when required. The Client guarantees that all information provided to goWIDGETS is accurate, complete and lawful.

Delays caused by missing information, delayed feedback, missing access or incomplete approvals may result in postponed delivery dates.

The Client remains responsible for the use, correctness and legal compliance of the final invoice, content, store configuration and business process.


6. Integration fee and upfront payment

For Services that include an Integration Fee, 50% of the Integration Fee must be paid upfront before goWIDGETS starts any work.

goWIDGETS is not required to begin integration, setup, configuration, development, automation or implementation work until this upfront payment has been received.


The remaining 50% of the Integration Fee is due before delivery, activation, launch or handover of the Service, unless agreed otherwise in writing.

If the Client delays, cancels or pauses the project after goWIDGETS has started the work, the upfront payment is non-refundable, unless mandatory law provides otherwise. If additional work is requested outside the agreed scope, goWIDGETS may charge additional fees.


7. Prices and payment

All prices are shown in euros unless stated otherwise. Prices are exclusive of VAT and other taxes, unless stated otherwise. Subscription Fees are charged monthly or annually, depending on the selected plan. Invoices must be paid within 30 days from the invoice date, unless agreed otherwise.


For B2B agreements in the Netherlands, legal maximum payment terms may apply. Business.gov.nl states that the legal payment term for agreements between companies is 60 days, unless other arrangements have been agreed and specified in the contract.


If the Client fails to pay on time, goWIDGETS may suspend access to the Service, pause ongoing work or withhold delivery until payment has been received. The Client is responsible for all reasonable collection costs, statutory interest and legal costs resulting from late payment.


8. Subscriptions

Some Services are provided as a recurring subscription. The subscription starts on the date stated in the order confirmation, proposal or invoice.

Unless agreed otherwise, subscriptions renew automatically every month.


The Client may cancel a subscription with 1 month notice before the next billing period.


After cancellation, access to the Service may be discontinued at the end of the paid subscription period. goWIDGETS may change subscription prices with reasonable prior notice. If the Client does not agree to the new price, the Client may cancel the subscription before the new price takes effect.


9. Delivery and implementation

Delivery dates are estimates, unless expressly agreed as binding in writing.

goWIDGETS depends on timely input, access and approval from the Client. If the Client does not provide this on time, delivery dates may be extended.


A Service is considered delivered when goWIDGETS has made the product, integration, automation or setup available to the Client, or when goWIDGETS has notified the Client that the work is ready for review.


The Client must review delivered work within 90 days. If the Client does not respond within this period, the work is considered accepted.


10. Changes and additional work

If the Client requests changes after the scope has been agreed, goWIDGETS may treat this as additional work.


Additional work may include, but is not limited to:

  • Extra design changes
  • Additional invoice fields
  • Advanced logic
  • New integrations
  • Changes to the agreed template
  • Additional testing
  • Changes caused by third-party platform limitations
  • Rework caused by incorrect or incomplete Client information


goWIDGETS will inform the Client where possible before charging additional costs.


11. Third-party platforms and dependencies

goWIDGETS Services may depend on third-party platforms, including Duda, payment providers, email services, APIs, hosting providers or other tools. goWIDGETS is not responsible for downtime, changes, limitations, errors, pricing changes or discontinued features of third-party platforms.

If a third-party platform changes its functionality, API, terms, pricing or technical setup, goWIDGETS may need to adjust the Service. Additional costs may apply. The Client is responsible for maintaining valid accounts, subscriptions and access rights for third-party platforms required to use the Service.


12. Custom invoice solutions

For custom invoice solutions, goWIDGETS creates an invoice flow based on the Client’s store setup, order data and agreed requirements.

The Client is responsible for checking whether the invoice layout, invoice numbering, tax details, company details and legal information meet the legal and accounting requirements that apply to the Client’s business.


goWIDGETS does not guarantee that an invoice is legally, fiscally or administratively compliant in every jurisdiction unless this has been separately agreed and verified by a qualified advisor.


The Client must test and approve the invoice output before using it in a live business process.


13. Support

Support is provided according to the selected plan or agreed Service. Support may include email support, priority support or custom support arrangements. Support does not include new functionality, custom development, third-party troubleshooting, legal advice, accounting advice or work outside the original scope, unless agreed otherwise. goWIDGETS aims to respond within a reasonable time, but response times are not guaranteed unless a specific service level has been agreed.


14. Intellectual property

All intellectual property rights related to goWIDGETS products, widgets, templates, code, designs, workflows, automations, documentation, methods and know-how remain the property of goWIDGETS or its licensors.


The Client receives a limited, non-exclusive, non-transferable right to use the Service for its own business purposes, according to the Agreement.

The Client may not copy, resell, sublicense, reverse engineer, reproduce, distribute or commercially exploit goWIDGETS products, code, templates or solutions without written permission. Any materials supplied by the Client remain the property of the Client.


15. Licence and usage restrictions

The Client may only use the Service for lawful purposes.


The Client may not use the Service in a way that:

  • Violates applicable laws or regulations
  • Infringes third-party rights
  • Interferes with the operation of goWIDGETS or third-party platforms
  • Attempts to bypass technical restrictions
  • Copies or resells the Service without permission
  • Damages the reputation of goWIDGETS


goWIDGETS may suspend or terminate access if the Client violates these restrictions.


16. Confidentiality

Both parties must keep confidential information confidential. Confidential information includes business information, technical information, pricing, login details, customer data, project information and other information that should reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, already known before disclosure or required to be disclosed by law.


17. Data protection and privacy

If goWIDGETS processes personal data on behalf of the Client, the parties may need to enter into a separate data processing agreement.

The Client is responsible for ensuring that personal data provided to goWIDGETS may lawfully be processed.

goWIDGETS will take reasonable technical and organizational measures to protect personal data.

18. Liability

goWIDGETS is only liable for direct damage caused by an attributable failure in the performance of the Agreement. goWIDGETS is not liable for indirect damage, including loss of profit, loss of revenue, loss of data, loss of customers, business interruption, reputational damage or consequential damage.


goWIDGETS is not liable for damage caused by:

  • Incorrect or incomplete information provided by the Client
  • Client misuse of the Service
  • Third-party platform issues
  • Duda platform changes or limitations
  • Payment provider issues
  • Email delivery issues
  • Legal or accounting non-compliance of Client documents
  • Unauthorized access caused by the Client


The total liability of goWIDGETS is limited to the amount paid by the Client to goWIDGETS for the specific Service that caused the damage during the three months before the event causing the damage, with a maximum of € 1.000.


Nothing in these Terms limits liability where such limitation is not allowed by mandatory law.


19. Force majeure

goWIDGETS is not responsible for delays or failures caused by events outside its reasonable control.


Force majeure includes, but is not limited to:

  • Internet or hosting failures
  • API failures
  • Duda outages or platform changes
  • Payment provider failures
  • Cyberattacks
  • Power failures
  • Illness
  • Government measures
  • Strikes
  • War or civil unrest
  • Natural disasters


If force majeure continues for more than 60 days, either party may terminate the Agreement in writing.


20. Cancellation and termination

The Client may cancel a Service or subscription according to the agreed cancellation terms.


goWIDGETS may terminate or suspend the Agreement if the Client:

  • Does not pay on time
  • Does not provide required information or access
  • Violates these Terms
  • Uses the Service unlawfully
  • Becomes insolvent or ceases business operations


Termination does not affect payment obligations for work already performed, active subscription periods, integration fees or additional work.


21. Refunds

Integration Fees are non-refundable once goWIDGETS has started the work, unless mandatory law provides otherwise.

Subscription Fees are non-refundable for the current billing period, unless agreed otherwise. If goWIDGETS cannot deliver the agreed Service for reasons fully attributable to goWIDGETS, goWIDGETS may offer a suitable alternative, correction or partial refund.

No refund is due if delivery is impossible or delayed because the Client does not provide required information, approval, access or cooperation.


22. Consumer rights

If the Client is a consumer, mandatory consumer protection rules may apply.

EU consumer rules include requirements on pre-contract information and, in many distance contracts, a right to cancel online purchases within a cooling-off period. The European Commission explains that the Consumer Rights Directive applies to contracts between a consumer and a trader, including rules on information before purchase and cancellation rights. If the Client is a business customer, consumer withdrawal rights do not apply. Where a Service is custom-made, personalized or has started with the Client’s express consent, cancellation rights may be limited or excluded where permitted by law.


23. Complaints

If the Client has a complaint, the Client must contact goWIDGETS by email at support@gowidgets.io.

The complaint must clearly describe the issue. goWIDGETS will respond within a reasonable time and will try to resolve the issue in good faith.

Submitting a complaint does not suspend the Client’s payment obligations.


24. Changes to these Terms

goWIDGETS may update these General Terms and Conditions from time to time. The latest version will be available on the goWIDGETS website.

For existing Agreements, material changes will apply after reasonable notice, unless changes are required by law or relate to new Services.

If the Client continues to use the Service after the updated Terms take effect, the Client accepts the updated Terms.


25. Governing law and disputes

These General Terms and Conditions and all Agreements between goWIDGETS and the Client are governed by the laws of the Netherlands, unless mandatory law requires otherwise.
